Clinician Membership Agreement
This Agreement governs your paid clinical membership on Avenly. Public access (browsing the directory, getting matched, contacting providers) is and will remain free to people seeking care and is governed by Avenly’s public Terms of Use.
Effective Date: The date you click “Accept & continue” below. Parties: Avenly Health, Inc. (“Avenly”) and you, a licensed clinical professional or clinic workforce member (“Member”).
1. Acceptance. By creating or maintaining an Avenly clinical account, you agree to this Agreement and Avenly’s Privacy Notice.
2. Eligibility. You represent that you (a) are at least 18 years old, (b) hold an active, unrestricted professional license in every state you list, (c) hold a valid NPI, (d) maintain professional liability insurance, and (e) have authority to bind your practice if signing as an owner or administrator.
3. What Avenly Is. Avenly is a directory, matching, and practice-management platform. Avenly is not a healthcare provider, clinical supervisor, billing agent, or employer. You are an independent professional. Avenly does not direct, supervise, or warrant your clinical work.
4. Verification. You authorize Avenly to verify your license and NPI with state boards, the NPPES registry, and other authoritative sources, and to re-verify periodically. You agree to update your profile promptly if your license status, scope, or contact information changes.
5. Professional Obligations. You are solely responsible for: (a) clinical decisions and documentation, (b) state scope-of-practice compliance, (c) HIPAA and state privacy laws, (d) malpractice insurance, (e) telehealth licensure where applicable, (f) honoring referrals and responding to inquiries in good faith, (g) not advertising services outside your licensed scope or jurisdiction.
6. Membership Plans & Pricing. Avenly offers the following clinical plans (subject to change with notice):
Avenly Member — Founding 500: $29.99/month for the first six months, then $39.99/month; individual clinicians.
Clinic Starter: $79.99/month, includes two seats; additional seats $20/month each.
Performance Intelligence (heat map): Included with active clinical workspaces.
Plans renew monthly until canceled. Founding-member pricing is locked at the price displayed at signup for the duration described in your plan, provided your workspace remains continuously active.
7. Billing & Payment. Fees are charged in advance through Stripe. You authorize Avenly to charge your saved payment method on the renewal date. Failed payments may result in suspension after a 7-day grace period. Avenly does not charge per referral, charge for matching, or sell directory placement. A flat 8% platform fee applies only to paid workshops, CEU courses, supervision sessions, and group transactions processed through Avenly.
8. Cancellation & Refunds. You may cancel anytime from your workspace settings. Cancellation takes effect at the end of the current billing period; your profile remains visible until then. No refunds are issued for partial periods unless required by law. If Avenly materially changes pricing or features in your disfavor, you may cancel without further obligation by the effective date of the change.
9. Member Conduct. You agree not to: (a) misrepresent credentials, license status, or insurance affiliations, (b) post false or misleading content, (c) post PHI in public fields, (d) impersonate any person, (e) harass or discriminate, (f) scrape, copy, or resell platform content, (g) practice outside your licensed scope or jurisdiction.
10. Profile Content & License. You retain ownership of content you publish. You grant Avenly a non-exclusive, royalty-free, worldwide license to host, display, and distribute that content as necessary to operate the platform.
11. No Pay-to-Rank. Avenly does not sell directory placement, paid ranking, or boosted matches. Match results are computed from licensure, specialty, insurance acceptance, location, availability, and stated preferences. Any future promotional features will be clearly disclosed in match results.
12. Confidentiality of Other Members’ Data. Through Avenly you may receive consultation requests, referrals, or messages containing limited PHI. You agree to handle that information consistent with HIPAA, the BAA, and your professional standards.
13. Privacy & Aggregate Data. Your use of Avenly is subject to our Privacy Notice. Avenly may publish aggregate, de-identified market insights (such as demand heat maps and specialty trend data) that cannot be linked to you individually. We do not sell personal information.
14. Termination by Avenly. Avenly may suspend or terminate accounts for: (a) license suspension, revocation, or restriction, (b) material breach of this Agreement or the BAA, (c) credible reports of patient harm, fraud, or harassment, (d) non-payment after grace period, (e) any conduct that creates legal or reputational risk to the platform.
15. Disclaimers. Avenly is provided “as is” and “as available” to the maximum extent permitted by law. Avenly does not warrant that any specific number of referrals, matches, inquiries, or revenue will result from your membership.
16. Limitation of Liability. To the maximum extent permitted by the laws of your Primary Practice State, Avenly’s total liability is limited to the greater of (a) the fees you paid in the twelve months preceding the claim, or (b) one hundred U.S. dollars ($100). Avenly is not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost client relationships, or therapeutic outcomes. In California (Civil Code §1668), New Jersey, and Massachusetts (Ch. 93A), nothing in this Section limits liability for gross negligence, fraud, willful misconduct, or violations of consumer protection statutes that cannot be waived by contract.
17. Indemnification. You agree to defend, indemnify, and hold harmless Avenly from claims arising out of: (a) your delivery of, or failure to deliver, clinical services, (b) your breach of this Agreement, the BAA, or applicable law, (c) misrepresentations in your profile, (d) violations of third-party rights related to your conduct on the platform. In New York (General Obligations Law §5-322.1) and similar states, this indemnity does not extend to Avenly’s own negligence or willful misconduct.
18. Dispute Resolution. Any dispute arising out of this Agreement will be resolved first through good-faith negotiation for sixty (60) days, then through mediation, and finally through binding arbitration administered by JAMS under its Streamlined Arbitration Rules in the county and state listed as your Primary Practice State, applying the substantive law of that state.
⚠️ CLASS ACTION WAIVER. To the extent permitted in your Primary Practice State, you and Avenly agree that claims must be brought individually and not as a plaintiff or class member in any class or representative action. In California, this waiver is enforceable only to the extent consistent with McGill v. Citibank and applicable consumer protection law. Either party may seek emergency injunctive relief in court before commencing arbitration.
19. Governing Law. This Agreement is governed by the laws of the state listed as your Primary Practice State in your Avenly profile, without regard to conflict-of-laws principles, except where preempted by federal law. If you practice in multiple states, this Agreement is governed by the state where you primarily reside and hold your principal license.
20. Severability. If any provision of this Agreement is found unenforceable under your Primary Practice State’s law, that provision is modified to the minimum extent necessary to be enforceable, or, if not possible, severed. The remaining provisions remain in full effect.
21. Beta-Specific Terms. During Avenly’s private beta, paid features are provided at no charge to Founding Members. Avenly will provide at least thirty (30) days’ written notice before charging Founding Members and will issue a signed superseding agreement at general availability. Your continued use after the notice period constitutes acceptance of the post-beta terms and pricing.
22. Changes to This Agreement. Avenly may revise this Agreement from time to time. Material changes will be communicated by email at least fifteen (15) days before they take effect. Continued use after the effective date constitutes acceptance.
23. Independent Relationship. Nothing in this Agreement creates an employment, agency, partnership, joint venture, or franchise relationship between you and Avenly. You are an independent licensed professional.
24. Entire Agreement. This Agreement, together with Avenly's Privacy Notice, constitutes the entire agreement between you and Avenly regarding your clinical membership.
25. State-Specific Provisions
The following provisions apply in addition to the rest of this Agreement based on your Primary Practice State. If any conflict exists between this Section and the general terms, this Section controls for residents and licensed practitioners of the listed state.

A copy will be emailed to you and stored in your workspace settings.
Final step. This Agreement protects Avenly’s confidential platform information, assigns feedback you provide to Avenly, and prevents misuse of what you learn during the beta program. A copy will be emailed to you.
Effective Date: The date you click “Accept & continue” below. Parties: Avenly Health, Inc., a Delaware corporation (“Avenly”) and you (“Beta Tester”), the individual or entity granted access to the Avenly private beta program.
Recitals. Avenly is developing a proprietary behavioral health matching, directory, and practice-management platform (the “Platform”). Avenly is providing you early access during its private beta in exchange for your agreement to the terms below.
1. Confidential Information. “Confidential Information” means any non-public information disclosed by Avenly to you, in any form, relating to the Platform or Avenly’s business, including but not limited to:
The Platform’s matching algorithm, scoring weights, fit calculations, and ranking logic
Pricing tiers, founding member pricing, platform fees, and revenue models
Feature roadmap, unreleased features, planned integrations, and product timelines
Internal metrics, user counts, clinician acquisition data, and platform performance
Partner relationships, vendor agreements, fundraising plans, and investor discussions
UI/UX designs, wireframes, prototypes, and unreleased screens
Source code, API specifications, database schemas, and technical architecture
Names and contact information of other beta testers
Any information marked or identified as “confidential” or that a reasonable person would understand to be confidential
Confidential Information does not include information that: (a) is or becomes publicly available through no breach by you, (b) was rightfully known to you before disclosure with no obligation of confidentiality, (c) is rightfully received from a third party without obligation of confidentiality, or (d) is independently developed by you without reference to Confidential Information.
2. Permitted Use. You may use Confidential Information only for evaluating the Platform and providing feedback to Avenly. You will not use Confidential Information to compete with Avenly, build a competing product, advise competitors, or for any other purpose.
3. Confidentiality Obligations. You agree to: (a) hold Confidential Information in strict confidence using at least the same degree of care you use to protect your own confidential information (and never less than reasonable care), (b) not disclose Confidential Information to any third party without Avenly’s prior written consent except as permitted in Section 4, (c) not copy, screenshot, screen-record, transmit, or reproduce any portion of the Platform’s user interface, branding, or internal screens for sharing outside Avenly’s official feedback channels, (d) not post about the Platform on social media, blogs, podcasts, conferences, or public forums during beta (except for general statements that you are a beta tester, with no feature details, screenshots, or pricing), (e) promptly notify Avenly in writing of any unauthorized disclosure you become aware of.
4. Permitted Disclosures. You may disclose Confidential Information: (a) to your employees, contractors, or professional advisors who have a need to know and are bound by confidentiality obligations at least as protective as this Agreement, (b) as required by law, court order, or governmental authority — provided you give Avenly prompt written notice (where legally permitted) and reasonable cooperation in seeking a protective order, (c) with Avenly’s prior written consent. You remain responsible for any breach by your employees, contractors, or advisors.
5. Feedback. “Feedback” means any suggestion, comment, idea, bug report, feature request, workflow improvement, or other input you provide to Avenly regarding the Platform. You hereby assign to Avenly all right, title, and interest in and to all Feedback, including all intellectual property rights, with no obligation of compensation or attribution to you. You may continue to use any general skills, knowledge, or experience gained during the beta in your professional work; this assignment applies only to Feedback specific to the Platform.
6. Non-Circumvention (18 Months). For a period of eighteen (18) months after your participation in the beta ends, you agree not to, directly or indirectly: (a) build, develop, fund, advise, or operate a product or service that materially competes with the Platform’s behavioral health matching, directory, or referral functions; (b) solicit, recruit, or otherwise induce any other Avenly beta tester whose identity you learned through the beta to participate in a competing product or service; (c) reverse-engineer, decompile, disassemble, or attempt to derive the Platform’s matching algorithm or scoring logic. This Section does not prevent you from continuing your own clinical practice, accepting referrals through any channel, or using competing platforms as an end user.
7. No License or Ownership. Nothing in this Agreement transfers ownership of the Platform, Confidential Information, or any Avenly intellectual property to you. You receive only a limited, revocable, non-transferable right to access the Platform during beta solely for evaluation. All rights not expressly granted are reserved by Avenly.
8. Return or Destruction. Upon termination of the beta program, written request by Avenly, or your withdrawal from the program, you will promptly: (a) cease all use of the Platform, (b) return or, at Avenly’s option, destroy all Confidential Information in your possession (including notes, screenshots, copies, and derivatives), and (c) upon request, certify destruction in writing. You may retain one archival copy solely for legal compliance, subject to ongoing confidentiality obligations.
9. Term and Survival.
This Agreement is effective on the Effective Date and continues until the earlier of (a) the public general availability launch of the Platform, (b) Avenly’s written termination of your beta participation, or (c) your written withdrawal from the beta program.
Confidentiality obligations in Sections 1–4 survive termination for two (2) years after the beta ends.
Trade secrets remain protected indefinitely for as long as they qualify as trade secrets under applicable law.
Sections 5 (Feedback), 6 (Non-Circumvention), 7 (No License), 8 (Return/Destruction), 10 (Injunctive Relief), 11 (Disclaimers), 12 (Limitation of Liability), and 13–17 (governing terms) survive termination according to their own terms.
10. Injunctive Relief. You acknowledge that breach of this Agreement may cause Avenly irreparable harm for which monetary damages would be inadequate. Avenly is entitled to seek injunctive relief and other equitable remedies, without posting bond and without proving actual damages, in addition to any other remedies available at law.
11. Disclaimers. The Platform is provided “as is” and “as available” during beta. Avenly disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. The Platform may contain bugs, errors, or incomplete features. Use during beta is at your own risk.
12. Limitation of Liability. To the maximum extent permitted by your Primary Practice State’s law, Avenly’s total liability arising out of this Agreement is limited to one hundred U.S. dollars ($100). Avenly is not liable for indirect, incidental, consequential, special, or punitive damages.
13. No Public Reference Without Consent. Avenly will not use your name, likeness, practice name, or testimonial in marketing materials without your prior written, opt-in consent. You similarly will not publicly reference the beta program in promotional materials without Avenly’s prior written consent.
14. Governing Law. This Agreement is governed by the laws of the U.S. state listed as your Primary Practice State in your Avenly profile, without regard to conflict-of-laws principles, except where preempted by federal law.
15. Dispute Resolution. Any dispute arising out of this Agreement will be resolved through good-faith negotiation for thirty (30) days, then through binding arbitration administered by JAMS under its Streamlined Arbitration Rules in the county and state listed as your Primary Practice State, applying the substantive law of that state. Either party may seek emergency injunctive relief in court before commencing arbitration to enforce Sections 3, 6, or 8.
16. Severability. If any provision of this Agreement is found unenforceable, that provision is modified to the minimum extent necessary to be enforceable, or, if not possible, severed. The remaining provisions remain in full effect.
17. Entire Agreement. This Agreement, together with the Clinician Membership Agreement and Privacy Notice, constitutes the entire agreement between you and Avenly regarding the beta program. In the event of conflict with the other agreements regarding confidentiality or beta program terms, this Agreement controls.
18. State-Specific Provisions. The state-specific provisions in your Clinician Membership Agreement apply to this Agreement to the same extent, including modifications to liability caps, indemnification, and consumer protection rights based on your Primary Practice State.

Too many people in crisis spend hours calling therapist after therapist, only to hear "not accepting new patients." Too many clinicians miss the right referrals because matching is still done through word-of-mouth and outdated insurance directories.
Avenly changes both sides of that equation. Patients get a guided, shame-free path to the right care. Clinicians get a professional platform that respects their expertise and doesn't take a cut of their clinical work.

Referrals are matched by clinical fit - specialty, licensure, insurance, language, and preference. No clinician can pay to rank higher in patient results. Ever.
Free means free for patients
Finding care will always be free on Avenly. No paywalls, no premium search tiers, no "premium" results. Clinicians pay for their professional tools - not for visibility.
Privacy is non-negotiable
Avenly is designed as a privacy-conscious, non-PHI referral discovery platform. We do not sell patient data, monetize health information, or ask public users for clinical records. Referral content is screened and moderated for PHI risk.
Clinicians deserve professional tools
The same directory that helps patients find care also gives clinicians a real professional community - referrals, CEUs, supervision, and peer connection in one place.

1. Information We Collect
We collect information you provide directly, such as name, email, account details, professional credentials, profile information, clinic information, and support messages. We may also collect structured search preferences, matching filters, referral activity, CEU records, billing status, device information, and security logs needed to operate the service.
2. What Avenly Is Not For
Avenly is not an emergency service, electronic health record, therapy platform, or clinical messaging system. Do not enter client names, dates of birth, diagnosis details, crisis information, insurance member IDs, treatment notes, or other protected health information in open text fields, support messages, referral notes, or general feedback.
3. How We Use Information
We use information to provide the platform, verify clinician and clinic profiles, support matching and referral workflows, send account and operational notices, process payments, maintain security, improve product reliability, and respond to support or privacy requests. We do not sell personal data, and paid placement does not control referral match results.
4. Search, Matching, and Referrals
Search and matching use structured details like location, availability, service type, provider credentials, and stated preferences. Referral notifications and match emails are intentionally minimal and de-identified. Initial provider notices should not include client names, diagnoses, free-text clinical notes, contact details, or other client-identifying information.
5. Contact Release
When a person asks to contact a provider through Avenly, contact information is handled through controlled request workflows. Avenly is designed to keep contact information hidden until a provider confirms availability or the workflow otherwise authorizes release. Sensitive contact fields may be encrypted or protected in server-side systems.
6. Sharing and Service Providers
We use service providers to operate Avenly, including hosting, authentication, database, email delivery, payment, security, and analytics providers. These providers may process limited information for Avenly's operational purposes. We may also disclose information if required by law, to enforce our terms, or to protect users, clinicians, clinics, and the platform.
7. Security and Retention
We use access controls, encrypted transport, role-based permissions, rate limits, audit logs, and operational safeguards. No internet service can guarantee perfect security. We retain information for as long as needed to operate the platform, satisfy legal or accounting requirements, resolve disputes, and preserve audit history.
8. Your Choices and Rights
Depending on where you live, you may have rights to access, correct, delete, or receive a copy of personal information. You can also ask questions about account deletion, profile visibility, email preferences, or privacy handling by contacting us.

These terms describe account requirements, clinician conduct, billing expectations, and Avenly's role as a directory and referral platform.
1. Acceptance of Terms
By creating an account or using Avenly, you agree to these Terms. Clinician accounts additionally agree to the Clinician Code of Conduct, which prohibits paid referral arrangements and PHI disclosure in referral posts.
2. Clinician Accounts
Clinicians must hold an active, valid license in good standing. Avenly reserves the right to suspend accounts where license verification fails or where account activity violates professional or ethical standards. Providing false credentials is grounds for immediate termination.
3. User Content and Conduct
Users are responsible for content they post. Referral posts must not contain identifiable patient information. Harassment, discriminatory language, or misleading claims are prohibited and may result in account suspension.
4. Payments & Subscriptions
Membership fees are billed monthly via Stripe. Cancellations take effect at the end of the current billing period. A flat 8% platform fee applies only to paid workshops, CEU courses, groups, supervision, and event transactions processed through Avenly. Referral matching is always included and never sold per referral.
5. No Medical Advice
Avenly is a directory and referral platform. It does not provide medical or clinical advice. Nothing on the platform constitutes a diagnosis, treatment recommendation, or clinical consultation.
6. Termination
Either party may terminate the account relationship at any time. Avenly reserves the right to suspend or terminate accounts for violations of these terms or the Clinician Code of Conduct. Upon termination, your profile and data will be removed from public view within 30 days.
7. Limitation of Liability
Avenly is provided "as is." We are not liable for the quality of care provided by any clinician listed on the platform. Patients are encouraged to independently verify clinician credentials and conduct appropriate due diligence.
8. Changes to Terms
We may update these terms from time to time. Material changes will be notified via email or platform notice at least 30 days before taking effect. Continued use after changes constitutes acceptance.
